Entity: Emirates Arts & Music Rights Association (“EMRA”, “we”, “us”, “our”)
These Terms of Use (“Terms”) govern your access to and use of EMRA’s website and online Services. By accessing or using the website, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility & Accounts
The website is intended for users aged 18+. Certain features (e.g., membership applications, submissions) may require you to provide accurate, complete information and keep it updated. You are responsible for all activity under your account (if any) and for maintaining the confidentiality of any credentials.
2. Permitted Use & Prohibited Conduct
You may use the website for lawful, informational, and community purposes related to EMRA’s mission. You agree not to:

Violate any applicable laws or third-party rights (including intellectual property and privacy);

Interfere with, disrupt, or attempt to gain unauthorized access to the website or related systems;

Upload malicious code, automated scripts, or perform scraping/harvesting;

Misrepresent your identity or affiliation;

Post or transmit unlawful, defamatory, obscene, infringing, or misleading content.
We may suspend or terminate access if we believe your use violates these Terms or applicable law.
3. Intellectual Property
The website and its content (text, images, graphics, logos, media, design, and software) are owned by or licensed to EMRA and protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works without EMRA’s prior written permission.
You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the website for personal, non-commercial purposes consistent with these Terms.
4. User Content & Submissions
If you submit content (e.g., forms, comments, testimonials, links to portfolios or works), you represent and warrant that:

You have the necessary rights to submit the content; and

The content does not violate laws or third-party rights.
You grant EMRA a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your submitted content solely to operate, improve, and promote the Services and EMRA programs (with attribution where feasible). EMRA may remove content that violates these Terms or applicable law.|
Notice-and-Takedown: If you believe content on the website infringes your rights, contact legal@emraorg.ae with details (your contact information, the specific URL, a description of the alleged infringement, and a statement of good-faith belief). We will review and respond in accordance with applicable law.
5. Membership & Programs
Membership eligibility, benefits, fees, renewal, cancellation, and code of conduct are governed by additional terms presented during registration or in member communications. In case of conflict, membership-specific terms prevail for membership matters.
6. Payments, Billing & Refunds (if applicable)
Where fees apply (e.g., membership, events), prices and payment terms are disclosed at the point of purchase. Payments may be processed by third-party providers subject to their terms. Unless otherwise stated or required by law, fees are non-refundable. Chargebacks initiated without valid grounds may result in suspension of Services.
7. Events & Workshops
By registering for an EMRA event or workshop, you agree to any event-specific terms (e.g., ticketing, attendance rules, recording/photography notices, and refund policies). We may reschedule, modify, or cancel events as necessary; in such cases, we will endeavor to communicate promptly and offer reasonable alternatives where feasible.
8. Third-Party Sites & Services
The website may contain links to third-party sites or services. EMRA does not control and is not responsible for third-party content, terms, or policies. Your use of third-party services is at your own risk.
9. Disclaimers
The website and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, EMRA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and availability. We do not warrant that the Services will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, EMRA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor any loss of profits, revenue, data, goodwill, or business opportunities arising from or related to your use of (or inability to use) the website or Services—even if advised of the possibility of such damages. Where liability cannot be excluded, it will be limited to the amount (if any) you paid to EMRA for the specific Service giving rise to the claim in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless EMRA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms, (b) your misuse of the Services, or (c) your infringement of any third-party rights.
12. Suspension & Termination
We may suspend or terminate access to all or part of the Services at any time, with or without notice, for any reason, including violations of these Terms, operational or security needs, or at our discretion.
13. Changes to the Website or Terms
We may update or discontinue features without notice. We may modify these Terms by posting a revised version with a new “Last Updated” date. Your continued use of the website after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. The Dubai Courts shall have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services.
15. Force Majeure
EMRA will not be liable for any delay or failure to perform due to causes beyond our reasonable control (e.g., acts of God, natural disasters, war, terrorism, labor disputes, Internet or telecommunications failures, governmental actions).
16. Entire Agreement; Severability; Assignment
These Terms (together with any membership or license-specific terms) constitute the entire agreement between you and EMRA regarding the website. If any provision is found invalid, the remaining provisions remain in full force. You may not assign these Terms without our prior written consent; EMRA may assign or transfer rights consistent with applicable law.
